Terms and Conditions of Business
1. These terms and conditions apply to all quotations given and all orders
received. Under no circumstances will any other Terms and Condition apply unless
signed by a director of Plasmech Packaging Limited.
2. All prices exclude vat.
3. Prices quoted are fixed for the day of issue only, we reserve the right to
change or modify prices without notice. Orders accepted for delivery more than
15 days later than the date of receipt will be invoiced at the price ruling at
the date of delivery, we will inform you if new pricing applies, giving you the
opportunity to cancel your order should you wish to.
4. Prices quoted unless stated otherwise include delivery to most UK mainland
locations on a 72 hour carrier – e.g. goods dispatched on a Monday will arrive
no later than the following Thursday. There is an additional charge for next day
and timed deliveries.
5. We aim to deliver the exact quantity ordered but due to the nature of
manufacture of flexible packaging we do not guarantee to deliver the exact
quantity ordered. Delivered quantities can vary by plus or minus 10% of the
ordered quantity. You agree to pay for the exact quantity of goods supplied.
6. We confirm that our specifications will meet our industry standards for
tolerances. Therefore, if you require tolerances of less than plus or minus 10%
on widths, lengths and thicknesses you must tell us at the time of placing your
order.
7. As a responsible Manufacturer we warrant that the goods supplied comply with
the descriptions on our delivery notes and will be of merchantable quality. We
give no other warranty and specifically exclude any warranty term or condition
that would otherwise be implied as to the quality of the goods or their fitness
for purpose for any application. We may offer ideas and suggestions for use and
applications, however, it is totally your responsibility to evaluate these ideas
or suggestions and you implement them entirely at your own risk. We are not
liable for any other losses including indirect and consequential from the use,
supply or non supply of goods. You must not request goods to be made that
infringe copyright or breech any laws or regulations.
8. All delivery dates and times given are estimates only. Seller will not be held
liable for any loss or damages suffered by the buyer or any third parties due to
late delivery. If we fail to deliver in a reasonable time you may cancel that
delivery as long as we receive your cancellation in writing BEFORE the goods
have been manufactured for you.
9. The MAXIMUM time we will hold stocks for call off is three months from
manufacturing date, after which we will dispatch the goods to you and invoice
them.
10. Goods must be inspected upon delivery. No claims for goods missing or damaged
in transit or short deliveries or defective goods will be entertained unless we
are notified in writing within one week of receipt of the goods in question.
11. Unless otherwise agreed payment is cheque with your initial order.
Subsequently, subject to credit clearance payment terms are normally a maximum
of 30 days end of month – e.g. invoice date 14th of June, latest acceptable
payment date 31st July. If you fail to pay in full by the due date we may cancel
or withhold future deliveries to you. We may exercise our rights under ‘The Late
Payment of Commercial Debts (interest) Act 1998.' This allows for interest and
compensation to be claimed on late payments.
12. RETENTION OF TITLE: Notwithstanding delivery and the passing of risk, property
in and title to the goods shall remain with Plasmech Packaging Ltd until we have
received payment of the full price of (a) all goods and/or services the subject
of the contract and (b)all other goods and/or services supplied to the buyer
under any contract whatsoever. Payment of the full price will include, without
limitation, the amount of any interest or other sum payable under the terms of
this and all other contracts between Plasmech Packaging Ltd and the buyer. You
must ensure that we are readily able to identify all goods that we have
delivered to you at all times. You must inform us immediately if you become
insolvent. If your right to use and sell the goods ends you must allow us to
remove the goods. We have your permission to enter any premises to inspect and
remove the goods using reasonable force where necessary.
